Agreement to these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Jagaan ("Jagaan", "we", "us" or "our"). They govern your access to and use of jagaan.com, the Jagaan mobile app, our emails, APIs and every related service (together, the "Service").

You accept these Terms when you create an account, tick the acceptance box, sign in with Google or Facebook, or otherwise use the Service. We keep a record of the version you accepted and when. If you do not agree, do not use the Service.

Our Privacy Policy and Cookie Policy form part of these Terms. Some features, such as auctions, subscriptions, verification and e-signing, have additional rules shown when you use them. Those rules also form part of these Terms, and they prevail for that feature if they conflict with these Terms.

Eligibility and accounts

You must be at least 18 years old and legally able to enter into contracts to use the Service. If you use the Service for a business, agency, developer or supplier, you confirm that you have authority to bind that organisation, and "you" includes it.

You agree to:

• give accurate, current and complete information, and keep it up to date;
• hold only one personal account unless we allow otherwise;
• keep your password, two-factor codes, devices and sign-in links secure and private;
• accept responsibility for everything done through your account, whether or not you authorised it;
• tell us at once if you suspect unauthorised use of your account.

We may refuse registration, ask you to verify your identity or documents, and limit, suspend or close any account at our discretion.

Our role: a marketplace, not a party

Jagaan is an online venue that lets buyers, sellers, landlords, tenants, agents, agencies, developers, suppliers and investors find each other. We are not a real estate broker, agent, developer, lender, escrow agent, insurer, valuer or legal adviser, and we are not a party to any agreement between users.

Unless we say otherwise in writing, we do not:

• own, inspect, value or guarantee any property, project, service or supplier;
• check that listings, prices, documents, titles or approvals are accurate, genuine or lawful;
• confirm the identity, licence, solvency or intentions of any user;
• guarantee that any sale, rental, booking, bid or payment between users will happen or succeed.

You are solely responsible for your own due diligence, including checking title, ownership, approvals, documents, measurements and the identity of the other party, and for getting independent legal, financial and technical advice before you commit to anything.

Listings, projects and profiles

When you publish a listing, project, profile or supplier page, you confirm that:

• you own the property or have written authority from the owner to market it on the terms shown;
• all information, prices, photos, floor plans and documents are accurate, current and not misleading;
• you hold every licence, registration and approval that the law requires for your activity;
• you will update or remove the listing promptly when it is sold, let, withdrawn or changes.

We may review, edit for format, reclassify, reject, hide, unpublish or remove any listing, project, profile, review or other content at any time and for any reason, including suspected fraud, duplicates, poor quality or breach of these Terms, without notice or liability.

How many listings you can publish and feature depends on your plan. Listings may expire, be paused or be saved as drafts when you reach your plan limits or when a plan ends. Search ranking, featured placement and visibility are decided by us and may change at any time. We do not promise any level of views, leads or results.

Your content and the licence you give us

"Your content" means everything you submit to the Service, including listings, projects, descriptions, prices, photos, videos, floor plans, documents, reviews, profile details, messages and feedback. You keep ownership of your content, and you are solely responsible for it.

You grant Jagaan and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, transferable and sublicensable licence to host, store, copy, reproduce, adapt, edit, translate, publish, display, distribute, analyse, create derivative works from and otherwise use your content, in any media now known or later developed, for any purpose connected with our business. This includes:

• operating, displaying, promoting and advertising the Service and your listings, on and off the Service;
• producing market data, price estimates, statistics, reports and other insights;
• training, testing, evaluating and improving machine learning and artificial intelligence models, and building products and features from them;
• keeping backups and records.

This licence continues after you remove content, after a listing ends and after your account is closed. Models, datasets, insights and other works we create using your content belong to us, and we are not required to delete, retrain or change them. To the extent the law allows, you waive any moral rights in your content and any claim to payment for our use of it.

You confirm that you have every right needed to grant this licence, including the consent of the owner of any photo and of any person who appears in it, and that our use of your content as described will not infringe anyone’s rights.

AI features, data and insights

The Service includes automated and AI features, such as smart search, recommendations, listing and project writing help, price and market estimates, and translations. Their output can be incomplete, out of date or wrong. It is provided for convenience only, it is not advice, and you must check it before you rely on it or publish it. You are responsible for any AI-assisted content you publish.

We use the information on the Service, including listings, projects, searches and activity, to build and improve our own models, rankings, estimates and features, as described in our Privacy Policy.

You may not use the Service or any data from it to build, train or improve any product, dataset or model outside Jagaan, including by scraping, crawling, bulk copying or automated collection.

Messages, inquiries, tours and open houses

Messages, photos, files and voice notes you exchange through the Service are stored by us. We may scan, review and keep them to deliver the Service, prevent spam, fraud and abuse, enforce these Terms, handle disputes and meet legal duties. Do not send payment card details, passwords or government ID numbers through messages.

Inquiries, tour requests, open house visits and meetings are arranged between users. We are not responsible for anything that happens at a viewing or meeting, including injury, loss, theft or damage. Take sensible precautions, meet in safe conditions and never send money before you have verified the other party and the property.

By contacting an agent, seller, landlord, developer or supplier through the Service, you agree that they may contact you about your inquiry by phone, email or message.

Online auctions

Each auction has its own terms, legal pack, reserve, buyer’s premium, deposit and timing, shown on the auction page. By registering for or bidding in an auction, you accept them.

• Every bid, including an automatic bid placed for you, is a binding offer that you cannot withdraw.
• A buyer’s premium may be added to the winning bid. Reserve prices may be hidden.
• Bids near the end may extend the auction to prevent last-second bidding.
• Deposits are held and released through our payment provider under the auction’s rules, and may be kept if a winning bidder fails to complete.
• We may refuse registrations, reject or cancel bids, and pause, extend, postpone, cancel or void an auction or its result, for any reason, including technical faults or suspected misconduct.

The sale contract is between the seller and the winning bidder. We are not responsible if either of them fails to complete, and we do not guarantee title, condition or vacant possession.

Subscriptions, featured listings, fees and refunds

Some features are paid, including subscription plans, featured placement and auction services. Prices, taxes and what each plan includes are shown before you pay. Payments are processed by third-party payment providers, and we do not store full card details.

• Subscriptions renew automatically at the end of each period until you cancel. Cancelling stops the next renewal; the current period continues until it ends.
• All fees are non-refundable, including for unused time, unused listings or featured slots, downgrades, suspensions and closed accounts, except where the law requires a refund.
• You are responsible for all taxes and for any bank, currency or payment provider charges.
• We may change prices, plans and features at any time. Price changes apply from your next renewal.
• If a payment fails or is reversed, we may pause paid features, unpublish listings over your plan limits, or suspend your account until it is paid.

Before you file a chargeback, contact us so we can resolve the issue. An unjustified chargeback is a breach of these Terms.

Verification, badges, documents and e-signing

Verification badges, trust scores, certificates and checks show only that certain documents or details were submitted or matched at a point in time. They are not a guarantee of identity, ownership, title, quality or honesty, and you must not rely on them in place of your own checks.

Our e-signing tool is provided as a convenience. You are responsible for deciding whether an electronic signature is valid and suitable for your document under the law that applies to it. You agree that records and signatures created through the Service may be used as evidence.

Calculators, price estimates, market data, blog articles and other tools are for general information only. They are not financial, legal, tax or valuation advice.

What you must not do

You must not, and must not help anyone else to:

• post false, misleading, duplicate, bait or unauthorised listings, prices or documents;
• impersonate anyone, or misrepresent your identity, licence, authority or affiliation;
• commit or attempt fraud, money laundering, advance-fee scams or any other unlawful act;
• discriminate against anyone on grounds protected by law;
• harass, threaten, spam or abuse other users, or contact them for reasons unrelated to their listing;
• scrape, crawl, copy, index, frame or harvest any part of the Service or its data, or use it to train any AI model, without our written permission;
• reverse engineer, decompile, probe, test or bypass the security, rate limits, plan limits or access controls of the Service;
• upload malware or interfere with the Service or its infrastructure;
• go around the Service to avoid fees, or use contact details from it for unsolicited marketing;
• create accounts by automated means, or create a new account after we have closed or suspended yours.

Our intellectual property

The Service, including its software, design, data compilations, models, logos, text and the Jagaan name, belongs to us or our licensors. We give you a limited, personal, revocable, non-transferable licence to use the Service for its intended purpose under these Terms. All other rights are reserved.

If you send us ideas, suggestions or feedback, we may use them freely without paying you or crediting you.

Third-party services

The Service relies on and links to services we do not control, including payment providers, maps, sign-in providers, email delivery and app stores. Your use of them is governed by their own terms, and we are not responsible for them, their availability or their content.

Suspension, termination and account closure

Our rights

We may suspend, restrict or close your account, remove your content or stop providing any part of the Service, at any time, with or without notice, and for any reason, including a suspected breach of these Terms, a legal or safety risk, or inactivity. We are not liable to you for doing so.

Closing your account

You may ask to close your account at any time from your account settings or in the app. Your account closes 14 days after your request, and you can cancel during that time. When your account closes:

• it is permanently deactivated: you are signed out everywhere and can no longer sign in or use it;
• your listings and projects are taken offline and your public profile is hidden;
• alerts, notifications and marketing email stop, and any subscription is cancelled without refund;
• we keep your account information, content, messages, activity and transaction records, and we may continue to use them as these Terms and our Privacy Policy describe, including for AI and machine learning development;
• the account cannot be reopened, restored, transferred or reactivated, including by our support team.

Closing an account does not end obligations you already owe, including unpaid fees and completed auction commitments.

What survives

The sections on your content and our licence, AI and data, fees, disclaimers, limitation of liability, indemnity, disputes and any other terms that by their nature should continue, survive the end of your use of the Service and the closure of your account.

Disclaimers

Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud. Where the law does not allow a limitation or exclusion, our liability is limited to the smallest amount the law permits.

Your indemnity to us

You will defend, indemnify and hold harmless Jagaan, its owners, affiliates, directors, employees and agents against every claim, demand, loss, liability, fine, cost and expense, including reasonable legal fees, arising from or related to:

• your content, listings, projects, documents or messages;
• your use or misuse of the Service;
• any transaction, auction, viewing or dealing between you and another user;
• your breach of these Terms or of any law, or your infringement of anyone’s rights.

We may take control of the defence of any claim at your expense, and you will cooperate with us.

Governing law and disputes

These Terms and any dispute relating to the Service are governed by the laws of Pakistan.

Before starting any claim, you agree to email legal@jagaan.com with the details and try in good faith to resolve it with us for at least 30 days.

Any dispute that is not resolved will be finally settled by binding arbitration under the Arbitration Act 1940, by a sole arbitrator, seated in Lahore and conducted in English. The courts of Lahore have exclusive jurisdiction for any matter that cannot be arbitrated and to enforce an award. We may still seek urgent injunctive relief in any competent court to protect our rights, data or intellectual property.

To the extent the law allows, claims must be brought individually and not as a plaintiff or class member in any class, collective or representative action, and any claim must be started within one year after it arose, or it is permanently barred.

Changes to the Service and these Terms

We may change, add or remove features, plans and prices, and may change these Terms at any time. We will post the new version on this page with a new date and version, and may also tell you by email or in the Service. The changes apply from the date posted. If you keep using the Service after that, you accept the new Terms. If you do not agree, stop using the Service and close your account.

General terms

• Electronic communications: you agree to receive notices, records and agreements from us electronically, and that they satisfy any requirement to be in writing.
• Entire agreement: these Terms, with the documents they refer to, are the whole agreement between you and us about the Service.
• Assignment: we may transfer these Terms and your data to an affiliate or to a buyer of all or part of our business. You may not transfer them without our written consent.
• Severability: if any part of these Terms is found unenforceable, it is changed to the minimum extent needed, and the rest stays in force.
• No waiver: if we do not enforce a right, we have not given it up.
• Force majeure: we are not liable for any delay or failure caused by events beyond our reasonable control.
• Relationship: nothing in these Terms creates a partnership, agency, employment or fiduciary relationship.
• Language: if these Terms are translated, the English version prevails.
